            PWCConfidentialInfoTxt = 'Toutes les données, les connaissances et toute l\'information de P&WC contenues, communiquées ou fournies à un Utilisateur sur le Site Web et qui sont identifiées comme « confidentielles », « exclusifs », (ou « proprietary » or « confidential » en anglais)  par une légende appropriée, une mention, une estampille ou toute marque écrite au moment de leur divulgation ou communication (ou qui sont ultérieurement identifiées par écrit dans les trente jours suivants leur divulgation ou communication) comme étant des renseignements exclusifs ou sensibles du point de vue de la concurrence doivent être traitées par l\'Utilisateur comme des renseignements exclusifs et confidentiels de P&WC (les « Renseignements confidentiels »). L\'Utilisateur accepte de ne pas divulguer à des tiers les Renseignements confidentiels et de protéger les Renseignements confidentiels de P&WC contre la divulgation publique pour une période indéfinie ou tel que précisé dans un(des) accord(s) de propriété exclusive connexe. Les modalités de la présente Entente ne devront avoir aucune incidence sur le droit de l\'Utilisateur à utiliser et (ou) à divulguer les renseignements :';
            PWCConfidentialInfoTxt_1 = 'qui sont déjà dans le domaine public au moment de leur divulgation ou qui sont ultérieurement communiqués au public sans la faute de l\'Utilisateur ; ou';
            PWCConfidentialInfoTxt_2 = 'qui sont déjà connus par l\'Utilisateur au moment de leur divulgation, par d\'autres moyens que leur divulgation par P&WC ; ou';
            PWCConfidentialInfoTxt_3 = 'dont l\'Utilisateur prend connaissance sans restriction similaire relative à leur divulgation ou à leur utilisation par une autre source que P&WC ; ou ';
            PWCConfidentialInfoTxt_4 = 'qui sont créés de manière indépendante par l\'Utilisateur sans avoir de connaissance préalable de leur divulgation et qui n\'ont pas été acquis directement ou indirectement en vertu d\'une obligation de confidentialité de P&WC.';

            PWCProprietaryrightTxt = 'L\'Utilisateur reconnaît que P&WC et (ou) ses concédants de licence sont propriétaires, de façon unique et exclusive, de tous les droits, titres et intérêts relatifs au Site Web, y compris tout le contenu et les documents, tels que, sans limitation, les articles,l\'information sous forme textuelle, graphique, vidéo ou audio, les données, les codes, les textes, les logiciels ou la documentation connexe, la documentation sur les produits et leurs spécifications, les applications, les concepts, les dessins, les modèles, les techniques et concepts de programmation, les organigrammes, les images, les formations et les autres biens ou services disponibles sur le Site Web ou par son intermédiaire et en relation avec les Services. Toute l\'information et des données P&WC contenues sur le Site Web ou accédées ou téléchargées sur le Site Web demeurent la propriété de P&WC ou de ses concédants de licence respectifs. Aucune disposition de la présente Entente n\'a pour effet de transmettre, d\'accorder ou d\'obliger P&WC à transmettre ou à accorder une licence à l\'Utilisateur relativement à tout brevet, marque de commerce, droit d\'auteur, renseignement constituant des secrets commerciaux ou autre droit de P&WC.             PWCUseOfServices = '3. Utilisations autorisées des Services';
            PWCUseOfServicesTxt = 'Sous réserve des modalités de la présente Entente, incluant sans limitation la Section 1 relatif aux (« Informations Confidentielles/Exclusives à P&WC »)de la présente Entente,';
            PWCUseOfServicesTxt_1 = ' du Site Web de P&WC et de toutes les lois et réglementations applicables, P&WC accorde à l\'Utilisateur une licence non exclusive, non transférable, personnelle et limitée pour accéder à distance, utiliser et afficher le Site Web ainsi que toute information et tout contenu que P&WC peut, à son entière discrétion, mettre à la disposition de l\'Utilisateur sur le Site Web relativement aux Services disponibles sur celui-ci. Cette licence n\'a pas pour effet de transférer la propriété ou le titre du Site Web ou de son contenu ni de créer aucun droit ou intérêt sur le Site Web ou son contenu. L\'Utilisateur doit inclure et conserver tous les avis de droits d\'auteur et autres avis de droit de propriété/confidentialité sur toutes les copies effectuées du Site Web. De plus, l\'Utilisateur ne doit pas modifier le Site Web ni son contenu de quelque manière que ce soit, ni reproduire, afficher publiquement, exécuter, distribuer, créer des œuvres dérivées ou utiliser autrement le Site Web ou son contenu à des fins publiques ou commerciales, sauf dans la mesure spécifiquement permise par les modalités de la présente Entente. L\'Utilisateur ne doit pas utiliser le Site Web pour concevoir, fabriquer ou réparer des pièces ou encore pour obtenir une autorisation gouvernementale à ces fins sans en avoir reçu l\'autorisation écrite et expresse de P&WC. Une telle autorisation expresse et écrite peut être accordée dans d\'autres ententes conclues entre l\'Utilisateur et P&WC, établissant un cadre juridique en vertu duquel l\'Utilisateur est autorisé à utiliser l\'information, le matériel et les applications que P&WC fournit (les « Autres ententes »). Des exemples d\'Autres ententes incluent des ententes sur les conditions générales, les ententes de services, les ententes de maintenance, les ententes de non-divulgation et les ententes supplémentaires relatives aux sites Web spécifiques à une application. Différentes parties du Site Web peuvent faire l\'objet d\'Autres ententes et donc, de modalités supplémentaires.';
            PWCUseOfServicesTxt_2 = 'Si un Utilisateur se voit accorder l\'accès à de l\'information qu\'il n\'est autrement pas autorisé à consulter en vertu d\'Autres ententes, celui-ci doit (i) se déconnecter immédiatement du Site Web sans copier ni télécharger une telle information, (ii)  ne pas utiliser une telle information à quelque fin que ce soit et (iii) signaler rapidement un tel accès non autorisé à P&WC. Si l\'Utilisateur prend autrement connaissance d\'un cas d\'accès non autorisé à de l\'information sur le Site Web, l\'Utilisateur doit en aviser rapidement P&WC à l\'adresse customer.service@pwc.ca.';
            PWCUseOfServicesTxt_3 = 'L\'Utilisateur accepte, représente et garantit ce qui suit :';
            PWCUseOfServicesTxt_4 = 'Si l\'Utilisateur est une organisation, l\'employé, l\'agent ou le représentant qui accède aux Services a la capacité juridique et le droit de conclure la présente Entente pour le compte de l\'Utilisateur et de consentir, au nom de l\'Utilisateur, à utiliser les Services conformément à toutes les modalités de cette Entente tel que prévu aux présentes.';
            PWCUseOfServicesTxt_5 = 'Tous les renseignements fournis par l\'Utilisateur relativement à la présente Entente et par l\'intermédiaire du Site Web sont, au meilleur de la connaissance de l\'Utilisateur, vrais et exacts, et l\'Utilisateur doit  les mettre à jour dès que possible après toute modification de ceux-ci.';
            PWCUseOfServicesTxt_6 = 'Si l\'Utilisateur télécharge toute publication ou autre document (y compris des Bons de commande) sur le Site Web, l\'Utilisateur ne doit d\'aucune manière modifier, amender, ou autrement altérer le contenu d\'un tout tel document. De plus, l\'Utilisateur ne doit pas faire de copies ni distribuer tout document téléchargé, sauf à des fins d\'activités commerciales internes de l\'Utilisateur.';
            PWCUseOfServicesTxt_7 = 'L\'Utilisateur ne doit pas utiliser les Services (A) à des fins illégales ou interdites par la présente Entente, (B) de quelque manière que ce soit qui contreviendrait aux lois et à la réglementation locale, provinciale, fédérale, nationale, internationale et étrangère applicable, (C) de quelque manière que ce soit qui pourrait endommager, surcharger, détériorer le Site Web, le rendre inopérant ou nuire à l\'utilisation ou à la jouissance du Site Web ou des Services par autrui.';
            PWCUseOfServicesTxt_8 = 'L\'Utilisateur ne doit pas utiliser les Services pour accéder à un logiciel de P&WC ou pour l\'utiliser.';
            PWCUseOfServicesTxt_9 = 'L\'Utilisateur doit être responsable de tout frais et de toute dépense liés à son utilisation des Services.';
            PWCUseOfServicesTxt_10 = 'S\'il est un client ou un fournisseur, l\'Utilisateur est responsable de visiter régulièrement le Site Web pour recevoir les mises à jour des Bulletins du service à la clientèle, les Bulletins de pièces de rechange, les Lettres d\'information sur l\'entretien et toutes les autres publications techniques qui peuvent être accessibles sur le Site Web et auxquels le client ou le fournisseur s\'est abonné. L\'obligation qui précède ne s\'applique seulement si le client ou le fournisseur a choisi de recevoir de telles publications uniquement par l\'intermédiaire du Site Web.';
            PWCChangesAgreement = '4. Modifications de la présente Entente et des Services';
            PWCChangesAgreementTxt = 'P&WC peut à tout moment modifier tout aspect du Site Web, les Services, ou les modalités de la présente Entente, et ce, sans préavis. P&WC peut également imposer des limites sur des caractéristiques du Site Web et sur les Services ou restreindre l\'accès de l\'Utilisateur à certaines parties du Site Web, et ce, sans préavis. Les modifications apportées au Site Web, aux Services et aux modalités de la présente Entente prennent immédiatement effet au moment de leur affichage. L\'accès par Utilisateur au Site Web doit être réputé constituer le consentement par l\'Utilisateur à ces modifications. Bien que P&WC tentera d\'aviser les Utilisateurs des modifications importantes apportées au Site Web, aux Services, ainsi qu\'aux modalités de la présente Entente, elle n\'a néanmoins aucune obligation de le faire. Il relève de la responsabilité de l\'Utilisateur de vérifier si des modifications ont été apportées au Site Web ou à la présente Entente.';
            PWCInfoMaterial = '5. Informations et documents soumis à P&WC';
            PWCInfoMaterialTxt = 'L\'Utilisateur a la possibilité d\'envoyer des informations et des documents liés à son utilisation du Site Web et des Services à P&WC par courrier électronique, par l\'intermédiaire du Site Web ou par tout autre moyen, afin de fournir de la rétroaction, de poser des questions ou pour toute autre fin (les « Renseignements soumis »). Les Renseignements soumis sont réputés être non confidentiels, non secrets ou non exclusifs et peuvent être utilisés par P&WC, ses sociétés du même groupe et ses tierces parties fournisseurs de services de toute manière conforme aux modalités de la présente Entente et (ou) à toute fin commerciale légitime, y compris mais sans s\'y limiter, pour (i) proposer du soutien à la clientèle, (ii) proposer du soutien pour l\'entretien et la réparation des moteurs, (iii) proposer la conception, le développement, la fabrication, la réparation, la certification et la production de produits et services, (iv) autoriser P&WC à mener des analyses, des enquêtes sur les produits et service et à les améliorer, (v) proposer des produits et services améliorés, nouveaux ou supplémentaires, (vi) se conformer aux exigences gouvernementales, réglementaires ou de navigabilité. L\'Utilisateur accorde expressément, ou garantit que le propriétaire des Renseignements soumis a expressément accordé à P&WC, ses sociétés du même groupe et ses tierces parties fournisseurs de services une licence et le droit mondiaux, sans royauté, non restreints, perpétuels, irrévocables, non exclusifs, entièrement transférables, cessibles et sous-licenciables d\'utiliser, de copier, de reproduire, de stocker, de modifier, d\'adapter, de publier, de traduire, de faire des œuvres dérivées, de distribuer, de vendre ou d\'exporter les Renseignements soumis, en tout ou partie, et sans aucune obligation d\'attribution, de quelque forme, support ou technologie que ce soit existant aujourd\'hui ou développé ultérieurement, et à toutes fins, sous réserve de ';

            PWCCommunications = '6. Communications avec P&WC – Règles de conduite';
            PWCCommunicationsTxt = 'La participation de l\'Utilisateur à la communication en ligne sur le Site Web a lieu en temps réel, et n\'est pas modifiée, censurée ni autrement contrôlée par P&WC. P&WC ne peut pas filtrer les documents fournis par les Utilisateurs et ne le fait pas. P&WC se réserve toutefois le droit de surveiller les documents figurant sur le Site Web et de supprimer ceux qu\'elle considère, à son entière discrétion, comme contrevenant aux modalités de la présente Entente, aux lois et aux règlements applicables ou à ses politiques et procédures. P&WC peut également divulguer tout renseignement ou tout document afin de se conformer aux lois, aux règlements ou aux demandes gouvernementales. À cet effet, les Utilisateurs acceptent :';
            PWCCommunicationsTxt_1 = 'de ne pas publier, télécharger ou transmettre tout message sur le Site Web ou par son intermédiaire, qui serait diffamatoire ou qui divulguerait des questions d\'ordre personnel ou privé concernant qui que ce soit sans son consentement exprès écrit ;';
            PWCCommunicationsTxt_2 = 'de ne pas publier, télécharger ou transmettre tout message, de données, d\'image ou de programme obscène, indécents, pornographiques ou blasphématoires ou tout autre matériel qui pourrait engager la responsabilité civile ou criminelle ;';

P&WC décline toute responsabilité liée aux virus ou aux programmes malveillants pouvant se trouver sur les Sites liés, à l\'exactitude de l\'information qu\'ils proposent et aux biens et services qu\'ils fournissent ou achetés sur ceux-ci. L\'Utilisateur accepte également de n\'utiliser aucun appareil, logiciel ou routine pour nuire ou essayer de nuire avec le fonctionnement normal du Site Web et de ne placer de charge de téléchargement disproportionnée sur l`infrastructures du Site Web ou sur celles de P&WC.';

En cas de conflit entre les Conditions standard de vente de P&WC et la présente Entente, les Conditions standard de vente de P&WC et les modalités supplémentaires qui se trouvent sur les pages transactionnelles du site Web de P&WC prévalent sur les modalités de la présente Entente en ce qui concerne l\'achat et la vente de produits et services.';
            PWCCondtinTranstxt_2 = 'Tout document transmis par l\'intermédiaire du Site Web doit être réputé constituer un document, tel que ce terme est défini selon la loi applicable.             PWCCondtinTranstxt_3 = 'Tous les Bons de commande soumis à P&WC par l\'intermédiaire du Site Web doivent être acceptés seulement par leur approbation expresse de P&WC. Tout Bon de commande soumis par P&WC par l\'intermédiaire du Site Web constitue une offre d\'achat de la part de P&WC. L\'Accusé de réception d\'un tel Bon de commande, si celui-ci est requis par celui-ci, doit être réputé comme étant une acceptation de ce Bon de commande, incluant toutes les modalités qu\'il contient.             PWCClientAdminTxt = 'Si l\'Utilisateur est une organisation, l\'Utilisateur doit nommer un employé, un agent ou un représentant à titre d\'Administrateur du client, conformément à la procédure qu\'établit P&WC. L\'Administrateur du client doit accepter et être lié par ';

            PWCClientAdminTxt_1 = '. À ce titre, l\'Administrateur du client doit avoir pleine autorité pour agir au nom de l\'Utilisateur pour tout ce qui concerne le Site Web et les Services, y compris mais sans s\'y limiter, accorder ou refuser à l\'Utilisateur l\'accès au Site Web.';
            PWCClientAdminTxt_2 = 'P&WC accepte de prendre les mesures de sécurité adaptées afin de limiter l\'accès au Site Web et aux Services aux Utilisateurs identifiés par l\'Administrateur du client et autorisés par P&WC conformément à la présente disposition.';
            PWCClientAdminTxt_3 = 'Les Utilisateurs peuvent accéder au Site Web seulement s\'ils disposent d\'un nom d\'utilisateur et d\'un mot de passe valides, ainsi que de toute forme de sécurité supplémentaire que P&WC peut exiger à son entière discrétion. Chaque Utilisateur doit avoir une adresse électronique unique. L\'Utilisateur est seul responsable d\'assurer la confidentialité de son nom d\'utilisateur et de son mot de passe et de toutes les activités qui se déroulent sur le Site Web lors d\'une session ouverte au moyen de ce nom d\'utilisateur et (ou) de ce mot de passe. L\'Utilisateur convient d\'aviser immédiatement P&WC de toute utilisation non autorisée d\'un tel nom d\'utilisateur et (ou) d\'un tel mot de passe et de  toute autre violation à la sécurité.';

            PWCIndemnificationTxt = 'L\'Utilisateur est responsable de : a) tout manquement à ses représentations, garanties, engagements ou obligations en vertu de la présente Entente et des conséquences d\'un tel manquement, y compris toutes pertes ou tous dommages en résultant qui sont encourus par P&WC, ses sociétés liées ou des tiers, b) toutes les activités résultant de l\'inscription de l\'Utilisateur au Site Web, de l\'utilisation de son mot de passe, de son nom d\'utilisateur ou de son identifiant, de son code d\'accès ou de son compte c) assurer la sécurité, la confidentialité et l\'utilisation limitée et autorisée de tous les noms d\'utilisateur et identifiants, mots de passe et codes d\'accès au Site Web ou à tout contenu de celui-ci que l\'Utilisateur connaît, contrôle ou possède, et d) de toutes les actions et omissions de l\'Utilisateur, de son personnel et (ou) d\'autres personnes ou entités sous son contrôle ou dont les actes peuvent autrement relever de la responsabilité de celui-ci ; il est entendu et convenu que de tels actes et omissions par de tiers, lesquels, s\'ils avaient été commis par l\'Utilisateur, constitueraient une infraction à la présente Entente, constituent une infraction à celle-ci comme si l\'Utilisateur en était directement l\'auteur.';
            PWCIndemnificationTxt_1 = 'L\'Utilisateur accepte par les présentes d\'indemniser, de défendre et de tenir indemne P&WC, ses filiales, ses sociétés du même groupe, ses fournisseurs et les employés, les administrateurs, les directeurs, les agents, les représentants et les sous-traitants de chacun de ceux-ci (collectivement, les « Parties indemnisées ») de tous dommages, responsabilités, réclamations, pertes, dépenses et coûts, y compris les honoraires d\'avocat raisonnables, subis, engagés ou payés par les Parties indemnisées, découlant directement ou indirectement ou relié à une activité liée à l\'utilisation du Site Web, des Renseignements soumis ou des publications effectuées sur le Site Web par l\'Utilisateur ou toute autre personne accédant au Site Web au nom de l\'Utilisateur et de tout manquement aux modalités de la présente Entente. L\'Utilisateur devra aider et coopérer dans toute la mesure raisonnablement requise par les Parties indemnisées à la défense de telles réclamations ou demandes.';
            PWCExportComp = '13. Conformité des exportations';
            PWCExportCompTxt = 'Les Utilisateurs acceptent de se conformer à toutes les lois, réglementations et directives des gouvernements du Canada et des États-Unis applicables relatives à l\'exportation, y compris mais sans s\'y limiter à (i) la Loi sur les licences d\'exportation et d\'importation, (ii) l\'Export Administration Regulation (l\'« EAR ») administré par le Bureau of Industry and Security du  département du commerce des États-Unis, titre 15 du Code of Federal Regulations (CFR) parties 730-774, (iii) les International Traffic in Arms Regulations (les « ITAR »), administrés par la Direction des contrôles commerciaux en matière de défense (Directorate of Defense Trade Controls) du Département d\'État américain, titre 22 du CFR parties 120-130, (iv) les Foreign Assets Control Regulations et les Executive Orders qui y sont associés, administrés par le Bureau du contrôle des avoirs étrangers du département du Trésor américain, titre 31 CFR parties 500-598, (v) le Internal Revenue Code, titre 26 U.S.C. § 999, appliqué par le département du Trésor américain, (collectivement, les « Lois sur l`exportation »). Les Utilisateurs acceptent de fournir à P&WC, sans délai, l\'information afin de soutenir les activités de P&WC en matière de conformité. P&WC peut exiger que les Utilisateurs certifient périodiquement qu\'ils se conforment aux Lois sur l\'exportation applicables.';
            PWCExportCompTxt_1 = 'Sauf si expressément autorisé par les Lois sur l‘exportation, les biens ou Services achetés de P&WC par l\'intermédiaire du Site Web ne peuvent pas être réexportés, revendus ou autrement disposés : (1) à tout pays non autorisé à réexporter tel qu\'il peut être porté à l\'attention de l\'Utilisateur par le biais d\'un connaissement, d\'une facture commerciale ou par tout autre moyen, ou (2) à une personne si l\'Utilisateur sait ou a des raisons de savoir qu\'il en résultera, directement ou indirectement, une disposition contrevenant aux obligations établies dans la présente Entente ou aux Lois sur l\'exportation.';
            PWCExportCompTxt_2 = 'Plus particulièrement, conformément au Supplément 2 du titre 15 CFR §749(o)(3) de l\'EAR, les biens ou les services achetés de P&WC par l\'intermédiaire du Site Web ne peuvent pas être réexportés dans un pays figurant sur la liste du Country Group (groupe de pays) E:1 (les listes des groupes de pays se trouvent dans le supplément 1 de la partie 740 de l\'EAR).';
            PWCExportCompTxt_3 = 'Les Utilisateurs reconnaissent que les biens ou Services achetés de P&WC par l\'intermédiaire du Site Web ne sont pas destinés à être utilisés à d\'autres fins interdites par les Lois sur l‘exportation, y compris par la Loi canadienne sur les licences d\'exportation et d\'importation, incluant, sans limitation, des activités liées aux armes nucléaires, balistiques ou chimiques et biologiques.';
            PWCProhibited = '14. Parties interdites';
            PWCProhibitedTxt = 'Les Lois sur l\'exportation interdisent l\'exportation de biens ou la prestation de services dans des pays frappés d\'embargo ou sanctionnés ou à des entités ou des particuliers étant des parties faisant l\'objet d\'interdictions ou de restrictions. Afin de se conformer à ce qui précède, P&WC se réserve le droit de refuser l\'accès au Site Web à tout Utilisateur qui (i) s\'est vu refuser des privilèges d\'exportation ou (ii) a été identifié par les gouvernements canadien et américain comme étant une partie faisant l\'objet d\'interdictions ou de restrictions ou (iii) se trouve dans un pays sanctionné en vertu des Lois sur l\'exportation.';
            PWCProhibitedTxt_1 = 'Tout Utilisateur actuel ou éventuel qui conteste son statut de partie faisant l\'objet d\'interdictions ou de restrictions doit communiquer avec l\'Administrateur du client de l\'organisation qu\'il ou elle représente. L\'Administrateur du client doit vérifier le statut de la partie faisant l\'objet d\'interdictions ou de restrictions et doit fournir à P&WC une certification écrite et demander que l\'accès au Site Web soit accordé ou rétablit à tout Utilisateur actuel ou éventuel, suivant le cas, qui a été erronément identifié comme partie faisant l\'objet d\'interdictions ou de restrictions. P&WC examinera la certification fournie et informera l\'Utilisateur actuel ou éventuel de sa décision finale.';
            PWCProhibitedTxt_2 = 'Si l\'Utilisateur est une organisation, un client ou un fournisseur, son employé, son agent ou son représentant accédant aux Services doit être contrôlé afin de déterminer s\'il est une partie faisant l\'objet d\'interdictions ou de restrictions conformément à un embargo, une sanction, une exclusion ou une désignation de partie interdite, émis et maintenu par les gouvernements canadien ou américain; dans ce cas, l\'accès au Site Web et aux Services lui sera refusé. L\'Utilisateur doit aviser immédiatement P&WC par écrit de l\'exclusion ou de la désignation comme partie interdite de tout employé, agent ou représentant ayant accès au Site Web et aux Services.';
            PWCInternationalUsers = '15. Utilisateurs internationaux et juridiction';
            PWCInternationalUsersTxt = 'P&WC maintient et contrôle le Site Web à partir de ses bureaux situés à Longueuil, province du Québec, Canada. L\'accès à ce Site Web est interdit à partir de territoires où son contenu est illégal ou interdit. Si un Utilisateur accède à ce Site Web à partir de l\'extérieur du Canada, l\'Utilisateur est responsable de se conformer à la législation locale. La présente Entente doit être régie et interprétée conformément aux lois de la Province de Québec et aux lois fédérales du Canada qui y sont applicables, à l\'exception de toute règle de droit international privé ou de conflit de lois qui conduirait à l\'application de toute autre loi. La Convention des Nations unies sur les contrats de vente internationale de marchandises ne s\'applique pas à la présente Entente ni aux achats de produits par l\'intermédiaire du Site Web, dans la mesure où le Site Web offre des produits à vendre en ligne. Suite à un avis écrit signalant un problème ou un litige lié au Site Web ou aux modalités de la présente Entente, les Parties s\'engagent à déployer des efforts raisonnables afin de résoudre un tel problème ou litige dans les soixante (60) jours suivant l\'avis écrit. Tout litige entre l\'Utilisateur et P&WC résultant, découlant, ou relié au Site Web, aux Services, de la présente Entente ou de toute question connexe, doit être résolu devant les tribunaux de la province de Québec, Canada, et l\'Utilisateur consent et se soumet irrévocablement par les présentes à la compétence originale et exclusive de ces tribunaux à l\'égard de tout litige.';
            PWCTermTermination = '16. Durée et résiliation';
            PWCTermTerminationTxt = 'Sauf s\'ils font l\'objet d\'une résiliation ou d\'une modification par écrit, les modalités de la présente Entente demeurent en vigueur.';
            PWCTermTerminationTxt_1 = 'La résiliation des modalités de la présente Entente entraîne automatiquement la révocation des droits de l\'Utilisateur à accéder au Site Web. P&WC peut temporairement suspendre ou résilier l\'accès de l\'Utilisateur à tout moment si, à la seule discrétion de P&WC, une telle suspension ou résiliation est raisonnablement nécessaire afin d\'assurer la sécurité du Site Web ou la continuité de son fonctionnement efficace. P&WC peut rétablir l\'accès de l\'Utilisateur après que P&WC reçoit l\'assurance que les motifs de la suspension ou de la résiliation ne s\'appliquent plus.';
            PWCTermTerminationTxt_2 = 'Si la présente Entente ou l\'autorisation d\'accéder au Site Web ou de l\'utiliser est résiliée par l\'Utilisateur ou par P&WC pour quelque raison que ce soit, alors : a) la présente Entente continuera néanmoins de s\'appliquer et de lier solidairement l\'Utilisateur et toute personne que l\'Utilisateur représente en ce qui concerne l\'accès et l\'utilisation antérieur au Site Web, ainsi que tout ce qui est relatif à ces actions ou qui en découle, et b) P&WC peut continuer à utiliser et à divulguer les renseignements personnels de l\'Utilisateur conformément à ';
            PWCTermTerminationTxt_3 = ' du Site Web de P&WC, tel qu\'amendé de temps à autre, le cas échéant.';
            PWCGeneralProvisions = '17. Conditions générales';
            PWCGeneralProvisionsTxt = 'Tous les avis, toutes les demandes et les autres communications à une partie en vertu des modalités de la présente Entente doivent être en langue anglaise et sont présumés comme étant valablement remis s\'ils sont transmis par écrit, par courrier électronique, par télécopie, par l\'intermédiaire du lien « Communiquer avec nous » ou en main propre à l\'autre partie.';
            PWCGeneralProvisionsTxt_1 = 'Si une disposition de la présente Entente est jugée invalide, inexécutable ou en conflit avec la loi d\'une juridiction compétente, la validité des autres dispositions ne doit pas être affectée par cette décision.';
            PWCGeneralProvisionsTxt_2 = 'Les modalités de la présente Entente ou tout droit ou obligation qui en découle ne peuvent être cédés sans le consentement préalable et écrit de P&WC. Toute cession en violation de ce qui précède est nulle, non exécutoire et sans effet. P&WC peut toutefois céder les modalités de la présente Entente à son entière discrétion.';
            PWCGeneralProvisionsTxt_3 = 'Les dispositions de la présente Entente lient les Parties et leurs ayants droit autorisés respectifs et s\'appliquent en leur profit.';
            PWCGeneralProvisionsTxt_4 = 'À moins de dispositions contraires dans une entente écrite distincte, tous les coûts et toutes les dépenses engagés en relation avec la présente Entente et à l\'accès au Site Web et à son utilisation devront être payés par la partie qui les a engagés.';
            PWCGeneralProvisionsTxt_5 = 'Les parties aux présentes conviennent que cette Entente ainsi que tous les documents s\'y rattachant soient rédigés en langue anglaise seulement, et que toute information fournie par l\'entremise du « MyP&WC Power Portal » soit en langue anglaise seulement. La version française de cette Entente est fournie pour fins de commodité seulement; en cas de divergence ou de conflit entre les modalités de la version française et celles de la version anglaise de celle-ci, les termes de la version anglaise prévaudront.';

            PWCDelayTxt = 'Seller is not responsible for any failure or delay in performance resulting from causes beyond Seller\'s reasonable control. These may include, but are not limited to, acts of government, court order, civil unrest, sabotage, adverse weather conditions, labor problems and shortage of materials or services. Seller will give timely notice to the Buyer of any such event and shall use reasonable efforts to avoid or remove the cause and resume performance with minimum delay. The time for delivery will be extended accordingly.';

Seller will replace or repair material certified by Seller or Seller\'s supplier using a Seller approved repair, within 2000 hours / 2 years from the date of initial shipment of the used or repaired part by Seller, whichever occurs first (with the exception of fuel nozzles, electronic engine controls, or torque controls), provided that the claim is made within such maximum number of operating hours and time after delivery. For fuel nozzles, electronic engine controls or torque controls, Seller will replace or repair within 1000 hours/ 12 months from the date of initial shipment of the goods by Seller, whichever occurs first, and prior to next original equipment manufacturer specified maintenance occasion, provided that the claim is made within such maximum number of operating hours and time after delivery';

            PWCWarrantyIndemnityBTxt_2 = 'Normal Deterioration, including: (1) normal wear and tear and deterioration resulting of normal part operation or as the result of the installation of a known defective engine part by the customer under a concession granted by the FAA or an OEM (other than Seller); and (2) overhaul life of assemblies, service life limits or parts, and/or operating time limits;';
            PWCWarrantyIndemnityBTxt_3 = 'Unsupported parts, including the following, or subsequent repairs or damages that are directly attributable to the use of one of the following: (1) part that are not originally supplied by Seller or its authorized distributors and accompanied by Seller Manufacturer\'s Release Certificate or Canadian Department of Transport Certificate of Airworthiness, as applicable (including parts approved under an FAA Parts Manufacturer Approval (PMA) or international airworthiness equivalent); (2) parts that are not identified in the applicable Seller Illustrated Parts Catalogue (\"IPC\") and accompanied by the supplier\'s Release Certificate; (3) parts that are not repaired in accordance with Seller approved repair processes; (4) parts that are not traceable, e.g. insufficient supporting documentation; or (5) parts that have been involved in an accident;';
            PWCWarrantyIndemnityBTxt_4 = 'Factors beyond Seller\'s control, including: (1) improper storage, usage, maintenance or operation of the part that is not consistent with the instructions and procedures of Seller, the aircraft manufacturer or the airworthiness regulations (including abuse, misuse, neglect or experimental use); (2)  any work performed on parts without due cause such as pre-purchase inspections, or scheduled maintenance performed at other than Seller recommended intervals; (3) accidents, collisions, propeller strikes, fire, flood, lightning strike, theft, explosion, riot, war, rebellion, seizure or any other belligerent acts; foreign object damage (FOD), erosion, corrosion, sulphidation or any other damage due to the operating environment; (4) alteration to, modification of, or tampering with any part after delivery by Seller, other than strictly in accordance with the terms herein and applicable Seller manuals; (5) use of stolen parts, or use of a part from which Seller\'s name, part number, identification mark or serial number has been removed or defaced; (6) workmanship performed by a facility other than Seller owned-manufacturing facilities; (7) repair or overhaul of a defective part at a facility other than a facility designated by Seller.';
            PWCWarrantyIndemnityC = 'Seller, at its own expense, shall defend Buyer from and against any claim alleging infringement of a Canadian or United States patent by sale or use, without further combination, of any new part delivered under the Order.  Seller shall control the defense of all such claims.  In addition to conducting the defense of Buyer, Seller shall pay such reasonable damages as are finally awarded by a court as a result of such claim or pay a reasonable amount, in Seller\'s discretion, to settle such claim.  Seller shall not be liable for any special, incidental, indirect or consequential damages arising out of or in connection with any claim, nor shall Seller be liable for any exemplary, punitive or other damages not attributable to acts of Seller.  Seller shall not have any obligation to Buyer under this Article unless Buyer gives Seller: (i) prompt written notice of the claim; (ii) full information, opportunity, reasonable assistance and authority to defend Buyer; and (iii) control over all settlements and appeals.  If use or sale of a new part is finally prohibited, Seller shall, at its option: (i) procure the right for sale or use; (ii) modify or replace the new part to avoid infringement; or (iii) take back the new part and refund its price (less a reasonable allowance for use or damage). Seller shall not have any obligation to Buyer under this Article to the extent a claim arises as a result of compliance with designs or specifications furnished or imposed by Buyer, or (ii) on the use or sale of the new part delivered hereunder in combination with other goods/services not sold to Buyer by Seller, Buyer shall indemnify and save Seller harmless.  THE REMEDIES SET FORTH IN THIS ARTICLE CONSTITUTE BUYER\'S SOLE AND EXCLUSIVE REMEDIES AND SELLER\'S ENTIRE LIABILITY WITH RESPECT TO PATENT INFRINGEMENT.';
            PWCWarrantyIndemnityC_1 = 'Notwithstanding anything to the contrary, i) the above warranties as set out in section 5A and remedies for patent infringement as set out in section 5C are given by Seller and accepted by the Buyer in place of all other express, implied or statutory terms, representations, warranties or conditions, in contract or in tort, including without limitation, any warranty or condition of merchantability or fitness for a particular purpose, in connection with an engine or Deliverable defect, non-conformity to the applicable specification and any patent infringement and all such other terms, representations, warranties or conditions are hereby expressly disclaimed, and ii) the only remedy for breach of the warranty and for patent infringement is as set out herein. For greater certainty, in no event shall Seller be responsible for any special, incidental, indirect or consequential damages arising out of or in connection with either a breach of such warranty or for patent infringement, or any tortious or negligent act or omission by Seller, or any exemplary, punitive or other damages not attributable to acts of Seller. Special, incidental, indirect or consequential damages include, without limitation, economic loss, loss or damage to any property or person or any other exemplary, punitive or similar damages, as well as expenses incurred external to the engine. No variation or extension of the foregoing warranty or patent infringement indemnification or associated remedies shall be binding unless in writing and signed by a duly authorized representative of Seller. Buyer\'s acceptance of the foregoing or the making of any claim or receipt of any benefit there under, constitutes Buyer\'s acceptance of all the foregoing terms, conditions and limitations. In no event shall Seller\'s liability exceed the price on the face of the order, whether based in contract, strict liability, fault, tort, or any other asserted right.';
            PWCTermsofPayment = 'Terms of Payment';
            PWCTermsofPaymentTxt = 'The Buyer\'s payment terms shall be \"Cash Before Shipment\" pending a credit review to establish payment terms. Upon credit approval by Seller, such payment terms shall be net thirty (30) days from the date of the invoice. Upon receipt of the results of the credit verification, Seller shall indicate to the Buyer in writing as to what the applicable terms of payment shall be. In certain instances, notwithstanding the payment terms, a deposit may be required for the manufacturing of the Deliverables and/or prior to shipment. The amount of the said deposit shall be determined by Seller at its sole discretion. Overdue accounts are subject to interest calculated and compounded monthly at the rate of fifteen percent (15%) per annum or United States Prime Rate, plus five percent (5%) per annum, whichever is greater, without exceeding the maximum rate allowed per applicable law. Buyer shall not delay payment for the Deliverables or related services pending, or based on the results of, its inspection or acceptance.';
            PWCAcceptance = 'Acceptance';
            PWCAcceptanceTxt = 'Buyer\'s order constitutes acceptance of all the terms and conditions hereof, which shall apply to the exclusion of any terms and conditions contained in any order or communication of Buyer not specifically agreed to in writing by Seller. Seller\'s acceptance of Buyer\'s order for the purchase of Deliverables is expressly made conditional on Buyer\'s acceptance of the terms contained herein.';
            PWCShipment = 'Shipment Discrepancies';
            PWCShipmentTxt = 'Any shipment discrepancy or receipt or incorrect Deliverables against Buyer\'s order must be reported in writing to Seller within thirty (30) days of the date of shipment.  Seller shall not be responsible for any discrepancy reported after thirty (30) days.';
            PWCReturns = 'Returns';
            PWCReturnsTxt = 'All Deliverables being returned, regardless of reason, will require the issuance of a \"Return Material Authorization\" (RMA) number from Seller prior to the physical return of the Deliverables. Issuance of an RMA does not constitute acceptance of the return by Seller. Returns will be reviewed on a case by case basis including warranty returns as outlined in Section 5 above.  Re-stocking charges of 15% of the invoice amount may apply.';
            PWCExportControls = 'Export Controls';
            PWCExportControlsTxt = 'Buyer agrees to comply with all applicable Canadian and US export and import laws and regulations. Performance hereunder is subject to the receipt of any necessary governmental export or import license, permit or similar authorization (\"Authorization\") under all applicable export, import and customs laws, including Canadian and U.S. export, import and customs laws (\"Export Law\"), affecting the goods or services and any associated technical data provided hereunder or any part thereof. No U.S. International Traffic in Arms Regulations (\"ITAR\") controlled goods, services or technical data shall be provided to the Seller pursuant hereto. Notwithstanding any other provision, the Seller shall have no liability (including no obligation to provide substitute goods or services or technical data), nor shall it be in breach, if for any reason any government fails to issue or renew or cancels any Authorization or delays in issuing or renewing any Authorization affecting any goods or services or any associated technical data provided hereunder or any part thereof.';
            PWCExportControlsTxt_1 = 'Export Law prohibits the export of goods, or provision of services to embargoed or sanctioned countries or to those entities and individuals that are restricted or denied parties (\"Prohibited Parties\"). Except as specifically authorized by Export Law, goods or services purchased from the Seller may not be re-exported, resold, or otherwise disposed of: (1) to any country not approved for re-export as brought to the Buyer\'s attention by means of a bill of lading, commercial invoice, or any other means; or (2) to any person if the Buyer knows, or has reason to know, that it will result directly or indirectly, in disposition contrary to the obligations made in these conditions of sale or contrary to the Export Law. Specifically, pursuant to Supplement 2 to 15 CFR §749(o)(3) of the U.S. Export Administration Regulations (\"EAR\"), goods or services purchased from the Seller may not be re-exported to a country listed in Country Group E:1 (Country Groups are listed in Supplement 1 to Part 740 of the EAR).';
            PWCTermination = 'Termination';
            PWCTerminationTxt = 'Seller may terminate the order at any time by written notice to Buyer if Buyer fails to pay any amount when due or if Buyer becomes insolvent or performs or permits any act of bankruptcy, liquidation, reorganization or if a receiver, trustee or custodian is appointed to Buyer or a substantial part of Buyer\'s assets. In addition, Seller may terminate the order if Buyer is in default under the terms of any other agreement or order with Seller or any affiliated company of Seller. On termination, Seller shall have no further obligation to Buyer under the order and Buyer will reimburse Seller\'s termination costs, including, without limitation, a reasonable allowance for profit as well as material, labor and administrative fees. Buyer shall reimburse Seller for all attorneys\' fees and other expenses incurred by Seller in recovering any sums due from Buyer regardless of whether the order has been terminated or not. The Buyer may not terminate the order, otherwise he is liable for damages caused to Seller as a result of the termination including, without limitation, costs and expenses as well as for the value of the work performed by Seller before termination of the order including, without limitation, a reasonable allowance for profit.';

For the replacement of defective Deliverables under this warranty, the defective Deliverables must be returned to P&WC, postage prepaid, and include proof of payment, if any.';

FOR GREATER CERTAINTY, IN NO EVENT SHALL P&WC BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH EITHER A BREACH OF SUCH WARRANTY, OR ANY TORTIOUS OR NEGLIGENT ACT OR OMISSION BY P&WC, OR ANY EXEMPLARY, PUNITIVE OR OTHER DAMAGES NOT ATTRIBUTABLE TO ACTS OF P&WC.             PWCWarrantyIndemnityBTxt_3 = 'Unsupported parts, including the following, or subsequent repairs or damages that are directly attributable to the use of one of the following: (1) part that are not originally supplied by Seller or its authorized distributors and accompanied by Seller Manufacturer\'s Release Certificate or Canadian Department of Transport Certificate of Airworthiness, as applicable (including parts approved under an FAA Parts Manufacturer Approval (PMA) or international airworthiness equivalent); (2) parts that are not identified in the applicable Seller Illustrated Parts Catalogue (\"IPC\") and accompanied by the supplier\'s Release Certificate; (3) parts that are not repaired in accordance with Seller approved repair processes; (4) parts that are not traceable, e.g. insufficient supporting documentation; or (5) parts that have been involved in an accident;';
            PWCWarrantyIndemnityBTxt_4 = 'Factors beyond Seller\'s control, including: (1) improper storage, usage, maintenance or operation of the part that is not consistent with the instructions and procedures of Seller, the aircraft manufacturer or the airworthiness regulations (including abuse, misuse, neglect or experimental use); (2)  any work performed on parts without due cause such as pre-purchase inspections, or scheduled maintenance performed at other than Seller recommended intervals; (3) accidents, collisions, propeller strikes, fire, flood, lightning strike, theft, explosion, riot, war, rebellion, seizure or any other belligerent acts; foreign object damage (FOD), erosion, corrosion, sulphidation or any other damage due to the operating environment; (4) alteration to, modification of, or tampering with any part after delivery by Seller, other than strictly in accordance with the terms herein and applicable Seller manuals; (5) use of stolen parts, or use of a part from which Seller\'s name, part number, identification mark or serial number has been removed or defaced; (6) workmanship performed by a facility other than Seller owned-manufacturing facilities; (7) repair or overhaul of a defective part at a facility other than a facility designated by Seller.';
            PWCWarrantyIndemnityC = 'Seller, at its own expense, shall defend Buyer from and against any claim alleging infringement of a Canadian or United States patent by sale or use, without further combination, of any new part delivered under the Order.  Seller shall control the defense of all such claims.  In addition to conducting the defense of Buyer, Seller shall pay such reasonable damages as are finally awarded by a court as a result of such claim or pay a reasonable amount, in Seller\'s discretion, to settle such claim.  Seller shall not be liable for any special, incidental, indirect or consequential damages arising out of or in connection with any claim, nor shall Seller be liable for any exemplary, punitive or other damages not attributable to acts of Seller.  Seller shall not have any obligation to Buyer under this Article unless Buyer gives Seller: (i) prompt written notice of the claim; (ii) full information, opportunity, reasonable assistance and authority to defend Buyer; and (iii) control over all settlements and appeals.  If use or sale of a new part is finally prohibited, Seller shall, at its option: (i) procure the right for sale or use; (ii) modify or replace the new part to avoid infringement; or (iii) take back the new part and refund its price (less a reasonable allowance for use or damage). Seller shall not have any obligation to Buyer under this Article to the extent a claim arises as a result of compliance with designs or specifications furnished or imposed by Buyer, or (ii) on the use or sale of the new part delivered hereunder in combination with other goods/services not sold to Buyer by Seller, Buyer shall indemnify and save Seller harmless.  THE REMEDIES SET FORTH IN THIS ARTICLE CONSTITUTE BUYER\'S SOLE AND EXCLUSIVE REMEDIES AND SELLER\'S ENTIRE LIABILITY WITH RESPECT TO PATENT INFRINGEMENT.';
            PWCWarrantyIndemnityC_1 = 'Notwithstanding anything to the contrary, i) the above warranties as set out in section 5A and remedies for patent infringement as set out in section 5C are given by Seller and accepted by the Buyer in place of all other express, implied or statutory terms, representations, warranties or conditions, in contract or in tort, including without limitation, any warranty or condition of merchantability or fitness for a particular purpose, in connection with an engine or Deliverable defect, non-conformity to the applicable specification and any patent infringement and all such other terms, representations, warranties or conditions are hereby expressly disclaimed, and ii) the only remedy for breach of the warranty and for patent infringement is as set out herein. For greater certainty, in no event shall Seller be responsible for any special, incidental, indirect or consequential damages arising out of or in connection with either a breach of such warranty or for patent infringement, or any tortious or negligent act or omission by Seller, or any exemplary, punitive or other damages not attributable to acts of Seller. Special, incidental, indirect or consequential damages include, without limitation, economic loss, loss or damage to any property or person or any other exemplary, punitive or similar damages, as well as expenses incurred external to the engine. No variation or extension of the foregoing warranty or patent infringement indemnification or associated remedies shall be binding unless in writing and signed by a duly authorized representative of Seller. Buyer\'s acceptance of the foregoing or the making of any claim or receipt of any benefit there under, constitutes Buyer\'s acceptance of all the foregoing terms, conditions and limitations. In no event shall Seller\'s liability exceed the price on the face of the order, whether based in contract, strict liability, fault, tort, or any other asserted right.';
            PWCTermsofPayment = 'Terms of Payment';
            PWCTermsofPaymentTxt = 'The Buyer\'s payment terms shall be \"Cash Before Shipment\" pending a credit review to establish payment terms. Upon credit approval by Seller, such payment terms shall be net thirty (30) days from the date of the invoice. Upon receipt of the results of the credit verification, Seller shall indicate to the Buyer in writing as to what the applicable terms of payment shall be. In certain instances, notwithstanding the payment terms, a deposit may be required for the manufacturing of the Deliverables and/or prior to shipment. The amount of the said deposit shall be determined by Seller at its sole discretion. Overdue accounts are subject to interest calculated and compounded monthly at the rate of fifteen percent (15%) per annum or United States Prime Rate, plus five percent (5%) per annum, whichever is greater, without exceeding the maximum rate allowed per applicable law. Buyer shall not delay payment for the Deliverables or related services pending, or based on the results of, its inspection or acceptance.';

            PWCAcceptanceTxt = 'Buyer\'s order constitutes acceptance of all the terms and conditions hereof, which shall apply to the exclusion of any terms and conditions contained in any order or communication of Buyer not specifically agreed to in writing by Seller. Seller\'s acceptance of Buyer\'s order for the purchase of Deliverables is expressly made conditional on Buyer\'s acceptance of the terms contained herein.';
            PWCShipment = 'Shipment Discrepancies';
            PWCShipmentTxt = 'Any shipment discrepancy or receipt or incorrect Deliverables against Buyer\'s order must be reported in writing to Seller within thirty (30) days of the date of shipment.  Seller shall not be responsible for any discrepancy reported after thirty (30) days.';
            PWCReturns = 'Returns';
            PWCReturnsTxt = 'All Deliverables being returned, regardless of reason, will require the issuance of a \"Return Material Authorization\" (RMA) number from Seller prior to the physical return of the Deliverables. Issuance of an RMA does not constitute acceptance of the return by Seller. Returns will be reviewed on a case by case basis including warranty returns as outlined in Section 5 above.  Re-stocking charges of 15% of the invoice amount may apply.';
            PWCExportControls = 'Export Controls';
            PWCExportControlsTxt = 'Buyer agrees to comply with all applicable Canadian and US export and import laws and regulations. Performance hereunder is subject to the receipt of any necessary governmental export or import license, permit or similar authorization (\"Authorization\") under all applicable export, import and customs laws, including Canadian and U.S. export, import and customs laws (\"Export Law\"), affecting the goods or services and any associated technical data provided hereunder or any part thereof. No U.S. International Traffic in Arms Regulations (\"ITAR\") controlled goods, services or technical data shall be provided to the Seller pursuant hereto. Notwithstanding any other provision, the Seller shall have no liability (including no obligation to provide substitute goods or services or technical data), nor shall it be in breach, if for any reason any government fails to issue or renew or cancels any Authorization or delays in issuing or renewing any Authorization affecting any goods or services or any associated technical data provided hereunder or any part thereof.';
            PWCExportControlsTxt_1 = 'Export Law prohibits the export of goods, or provision of services to embargoed or sanctioned countries or to those entities and individuals that are restricted or denied parties (\"Prohibited Parties\"). Except as specifically authorized by Export Law, goods or services purchased from the Seller may not be re-exported, resold, or otherwise disposed of: (1) to any country not approved for re-export as brought to the Buyer\'s attention by means of a bill of lading, commercial invoice, or any other means; or (2) to any person if the Buyer knows, or has reason to know, that it will result directly or indirectly, in disposition contrary to the obligations made in these conditions of sale or contrary to the Export Law.             PWCTerminationTxt = 'Seller may terminate the order at any time by written notice to Buyer if Buyer fails to pay any amount when due or if Buyer becomes insolvent or performs or permits any act of bankruptcy, liquidation, reorganization or if a receiver, trustee or custodian is appointed to Buyer or a substantial part of Buyer\'s assets. In addition, Seller may terminate the order if Buyer is in default under the terms of any other agreement or order with Seller or any affiliated company of Seller.             PWCTechPubTaxesTxt = 'Buyer is responsible for all taxes, duties and other charges of any nature whatsoever, including interest and penalties thereon, arising from the sale, delivery or use of the Deliverables or related services under the order, and will reimburse P&WC for any such charges P&WC may be required to pay directly to any government authority.';
            PWCTechPubChanges = 'Changes';
            PWCTechPubChangesTxt = 'P&WC may at any time make changes to the Deliverables or related services which do not affect price. No other modification of the order is binding unless agreed to in writing by both parties.';
            PWCTechPubDelay = 'Delay';
            PWCTechPubDelayTxt = 'P&WC is not responsible for any failure or delay in performance resulting from causes beyond P&WC\'s reasonable control. These may include, but are not limited to, acts of government, court order, civil unrest, sabotage, adverse weather conditions, labor problems and shortage of materials or services. P&WC will give timely notice to the Buyer of any such event and shall use reasonable efforts to avoid or remove the cause and resume performance with minimum delay. The time for delivery will be extended accordingly.';

            PWCTechPubWarrantyTxt = 'P&WC warrants that the most recent release of Deliverables conforms to the current standard practices of P&WC, and P&WC otherwise provides Deliverables \"AS IS\" with no further warranty whatsoever. P&WC\'s liability under this warranty is limited to the replacement of Deliverables returned to P&WC within thirty (30) days after delivery. For the replacement of defective Deliverables under this warranty, the defective Deliverables must be returned to P&WC, postage prepaid, and include proof of payment, if any.';

            PWCCAAgreementTxt = 'In connection with the use of Pratt & Whitney Canada Corp.\'s (\"P&WC\") MyP&WC Power Portal (the \"Portal\") by users (the \"Users\") of the organization that I represent (the \"Company\"), and in my capacity as authorized representative of the Company for these purposes, I agree to comply with and perform the following obligations:';
            PWCCAAgreementTxt_1 = 'Manage and control Portal access for the Company, including ensuring that the User requesting access is currently employed by the Company, that the applications requested are relevant to the job description of the employee and that the employee has the appropriate authority for the applications requested. Confirmation of appropriate authority extends to any necessary governmental authorizations related to the transfer, export, import, retransfer or re-export of any data controlled by the United States International Traffic in Arms Regulations (\"ITAR\"), the U.S. Export Administration Regulations (\"EAR\"), or any other U.S. or Canadian laws, regulations and/or directives governing the data, including but not limited to sanction party and embargoed country checks.';
            PWCCAAgreementTxt_2 = 'Review, maintain and confirm the Portal access privileges of any User in the Company. This review must be performed on an as-needed basis and in any event, at least once every quarter. I shall, without delay, provide any information requested by P&WC in support of any export laws, regulations and/or directives governing data in the Portal, in support of P&WC\'s export compliance activities, including but not limited to evidence of screening of Users from the Company.  I agree to assist P&WC in routine system audits to verify User information.';
            PWCCAAgreementTxt_3 = 'Identify a second representative to perform the obligations hereunder in my absence or as may be required from time to time.  Such second representative must agree to be bound by the terms, conditions and obligations set forth in this Agreement.';
            PWCCAAgreementTxt_4 = 'Remain aware of, and up-to-date in respect of, the information, tools and applications that are available on the Portal and share such information, tools and applications with the Users.';
            PWCCAAgreementTxt_5 = 'Immediately cancel Portal access privileges of, and take all other steps necessary to ensure that, any User whom (i) is no longer employed by the Company, (ii) is subsequently identified as a sanctioned or restricted party under the ITAR, the EAR, or any other U.S. or Canadian export regulations no longer has access to the Portal.  I agree to immediately notify P&WC of any such access cancellations.';
            PWCCAAgreementTxt_6 = 'Maintain, strictly apply and enforce and communicate, at a minimum, the following security policies';
            PWCCAAgreementTxt_6a = 'Every User must have a valid username, password, unique email address and any additional form of security that P&WC, at its discretion, may require. User ID\'s and passwords must not be shared or transferred, within the Company or otherwise.';
            PWCCAAgreementTxt_6b = 'Communicate to all Users, on a regular basis, the obligations of the Company, as indicated in the MyP&WC Power Portal Website Service Agreement with respect to the use and disclosure of P&WC proprietary information, other P&WC confidential information and U.S. and Canadian laws, regulations and/or directives governing or controlling the transfer, export, retransfer or re-export of any data.';
            PWCCAAgreementTxt_6c = 'Ensure compliance by the Company of the terms and conditions set out in the MyP&WC Power Portal Website Service Agreement.';
            PWCCAAgreementTxt_6d = 'Only grant access to or use of the Portal to permanent employees of the Company, and not to any contractor, subcontractor, sub-supplier or temporary employee of the Company or any other third party, without P&WC\'s prior written approval, which may be withheld in P&WC\'s discretion.';
            PWCCAAgreementTxt_6e = 'Immediately notify P&WC if the Company\'s legal status changes, including, without limitation, by reason of a merger, change of control or name change.';
            PWCCAAgreementTxt_6f = 'Immediately notify P&WC of any change in my own employment status with the Company.';
            PWCCAAgreementTxt_6g = 'Promptly report to P&WC any actual or suspected unauthorized access to the Portal or breach of the foregoing security policies.';
