CONTACT AGREEMENT

In connection with the use of the Website by users of my company, I have expressed the interest of acting as my company's contact, and as such, if I am accepted by P&WC, I agree to comply with and perform the following responsibilities:

1. Manage & control all user access for my company, including ensuring that the employee requesting access is currently working at my company, that the applications requested are relevant to the job description of the employee and that the employee has the appropriate authority for the applications requested. Confirmation of appropriate authority extends to any necessary governmental authorizations related to the transfer, export, import, retransfer or re-export of any data controlled by the United States International Traffic in Arms Regulations ("ITAR"), the U.S. Export Administration Regulations ("EAR"), or any other U.S. or Canadian laws, regulations and/or directives governing the data, including but not limited to sanction party and embargoed country checks.

2. Review, maintain and confirm the P&WC Supplier Portal access privileges and personal information of any user in my company. This review must be performed on an as needed basis and in any event, at least every quarter. I shall, without delay, provide any information requested by P&WC in support of any export laws, regulations and/or directives governing data in the P&WC Supplier Portal, in support of P&WC's export compliance activities, including but not limited to evidence of screening of Website users from my company.

3. Identify a second contact, to be approved by P&WC, to ensure coverage in my absence or as required.

4. Stay aware and up-to-date on the information, tools and applications that are available on the Supplier Portal and publicize such information, tools and applications to the users.

5. Immediately cancel access of any user when he or she leaves my company.

6. Promote and communicate security policies such as:

a. User ID's and passwords must not be shared.

b. Communicate to all users on a regular basis the obligations of my company with respect to the use and disclosure of P&WC Proprietary Information, other confidential information and U.S. and Canadian laws, regulations and/or directives governing or controlling the transfer, export, retransfer or re-export of any data.

c. Promptly report to P&WC any violation of the foregoing.

I hereby represent and warrant that (i) I have the legal capacity to enter into this agreement and to perform the foregoing responsibilities (ii) I have obtained my employer's unconditional consent to act as contact hereunder and (iii) I am duly authorized to bind the company,

I hereby grant P&WC the right to use the personal information I have disclosed in connection with my application for the purpose of determining my eligibility to act as a contact hereunder. All such personal information shall be dealt with in accordance with P&WC's Website Privacy Policy.

I understand and agree that I shall receive no compensation or remuneration whatsoever from P&WC for the work I will, if accepted, perform as contact hereunder.

I may terminate my role as contact, at any time and for any reason whatsoever or without any reason, by giving P&WC a [15] day prior written notice and I understand and agree that P&WC may terminate my role as contact, at any time and for any reason whatsoever or without any reason, without liability. I will endeavour to find a replacement contact before I terminate my role as a contact hereunder.
Nothing in this Agreement shall constitute me as an employee, agent, franchisee, or legal representative of P&WC, or empower me to act for or bind P&WC in any manner or respect.

I understand that mere acceptance by me of the foregoing terms and conditions shall not entitle me to act as contact hereunder and I accept that P&WC shall have sole discretion to determine whether to accept me as contact or not. P&WC shall not have to give me any reason for refusing to choose me as a contact hereunder.

This Agreement shall be governed by and interpreted in accordance with the laws in force in the Province of Quebec, Canada.
